Users may access the platform solely for lawful business purposes and in accordance with all applicable regulations, including those governing financial data, investor information, and cross‑border data transfers.

Users agree not to:

  • Interfere with platform functionality or security

  • Attempt unauthorized access to systems, accounts, or data

  • Use the platform to process prohibited or unlawful content

  • Reverse engineer, copy, or replicate Harmonate’s proprietary technology

3. Data Handling & Security

Harmonate is designed for enterprise‑grade data protection. The platform incorporates secure data transmission, role‑based access controls, audit logging, and encryption aligned with industry best practices.

SOC 2 Alignment

Harmonate maintains controls and processes consistent with SOC 2 Trust Services Criteria, including:

  • Security

  • Availability

  • Processing Integrity

  • Confidentiality

  • Privacy

These controls support the safeguarding of customer data and the reliability of platform operations. Harmonate may provide SOC 2 reporting or attestation documentation to customers under NDA upon request.

4. AI‑Enabled Features & Disclosures

Harmonate uses AI and automation to enhance data processing, classification, workflow routing, and operational intelligence. These capabilities are designed to support human decision‑making, not replace it.

AI Use Principles

  • Transparency: AI features are clearly identified within the platform.

  • Human Oversight: Users retain full responsibility for reviewing and approving outputs.

  • Data Privacy: AI models do not use customer data for training outside the customer’s environment.

  • Security: AI processing follows the same security and SOC 2‑aligned controls as all other platform functions.

  • Limitations: AI outputs may contain inaccuracies and should not be treated as legal, financial, or compliance determinations.

5. Customer Responsibilities

Customers are responsible for:

  • Ensuring the accuracy of data submitted to the platform

  • Maintaining secure access credentials

  • Complying with all regulatory obligations applicable to their business

  • Reviewing AI‑generated or automated outputs before acting on them

6. Intellectual Property

All software, automation frameworks, AI models, workflows, documentation, and branding associated with Harmonate are the exclusive property of Harmonate and its licensors. No rights are granted to users beyond the limited right to access and use the platform under their subscription agreement.

Users may not:

  • Copy or reproduce platform components

  • Create derivative works

  • Remove or alter proprietary notices

  • Use Harmonate trademarks without written permission

7. Compliance & Regulatory Considerations

Harmonate supports compliance workflows but does not provide legal, tax, or regulatory advice. Customers remain responsible for:

  • Meeting AML/KYC obligations

  • FATCA/CRS reporting

  • Accreditation verification

  • Investor eligibility checks

  • Any jurisdiction‑specific regulatory requirements

Harmonate’s tools assist with automation and data intelligence but do not replace professional compliance review.

8. Availability & Service Levels

Harmonate strives to maintain high availability and reliable performance. Scheduled maintenance, upgrades, or unforeseen outages may occur. Harmonate is not liable for delays or interruptions outside its reasonable control.

9. Limitation of Liability

To the fullest extent permitted by law, Harmonate is not liable for:

  • Indirect, incidental, or consequential damages

  • Losses arising from user‑submitted data

  • Decisions made based on automated or AI‑generated outputs

  • Third‑party system failures or integrations

Users agree to use the platform at their own risk and to validate all critical outputs.

Harmonate may update this Policy periodically to reflect changes in technology, security practices, regulatory requirements, or platform functionality. Continued use of the platform constitutes acceptance of the updated terms.
